These Terms of Service ("Terms") govern your access to and use of Case Close's mobile application and website (together, the "Service"), operated by Case Close ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms.
Who can use Case Close
Case Close is a business tool for medical device sales representatives and the distributor organizations that employ them. You must be at least 18 years old and have the authority to use the Service on behalf of your organization (if applicable) to create an account.
Accounts and organizations
Creating an account without an invite code establishes a new organization, and you become that organization's administrator. Joining with a valid invite code adds you as a representative under an existing organization. Organization administrators can see account and usage information for representatives within their organization. You're responsible for keeping your login credentials confidential and for all activity under your account.
Subscriptions and billing
Access to the Service is offered on a subscription basis. Subscriptions are billed and processed by our payment processor, Stripe, through our website; we do not collect or store your payment card information. Subscriptions renew automatically until canceled. You can cancel at any time; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law.
Acceptable use
You agree to use the Service only for its intended business purpose and agree not to:
- Use the Service in violation of any applicable law, including HIPAA or other health-privacy laws;
- Share your account credentials with anyone outside your organization;
- Attempt to access another organization's data;
- Reverse-engineer, decompile, or attempt to extract the source code of the Service;
- Use the Service to store or transmit information you are not authorized to handle.
Your data and PHI
You are responsible for having the appropriate authorization to capture and process any patient information through the Service, and for complying with your organization's and your employer's policies regarding protected health information. See our Privacy Policy for how we handle and protect this information, including the subprocessors involved in providing the Service.
Intellectual property
The Service, including its software, design, and content (excluding data you submit), is owned by Case Close and protected by intellectual property laws. We grant you a limited, non-transferable license to use the Service for its intended purpose during your subscription.
Termination
We may suspend or terminate your access to the Service if you violate these Terms, if your organization's subscription lapses, or as needed to protect the Service or other users. You may stop using the Service and cancel your subscription at any time.
Disclaimers
The Service is provided "as is" without warranties of any kind, express or implied. Case Close does not guarantee the accuracy of data extracted from photographed documents or voice dictation, and you are responsible for reviewing and confirming all case, billing, and inventory information before relying on it or sending it to a third party.
Limitation of liability
To the fullest extent permitted by law, Case Close will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, or for any amount exceeding the fees you paid us in the 12 months preceding the claim.
Changes to these Terms
We may update these Terms from time to time. We'll update the "Last updated" date above when we do. Continued use of the Service after changes means you accept the updated Terms.
Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.
